PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE OSTEOIQ® PLATFORM.

1. Acceptance of Terms

By accessing or using the OsteoIQ® website, mobile application, or any related services (collectively, the “Platform”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to all of these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and OsteoIQ® (“OsteoIQ,” “we,” “us,” or “our”). Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Description of Services

OsteoIQ® provides a health testing and wellness platform that enables users to access diagnostic testing services, track biomarkers, receive health insights, and engage with wellness tools designed to support informed health decisions. Our services may include, but are not limited to:

  • Laboratory testing and diagnostic services, including blood work and biomarker analysis
  • Personalized health dashboards and wellness tracking tools
  • Health insights, educational content, and recommendations based on test results
  • Integration with third-party health and wellness services

The specific features and services available to you may vary depending on your subscription plan, geographic location, and applicable regulatory requirements.

3. Eligibility

You must be at least eighteen (18) years of age to create an account and use the Platform. By registering for an account, you represent and warrant that you meet this age requirement and that all registration information you provide is truthful, accurate, and complete.

If you are using the Platform on behalf of a minor (where permitted by applicable law), you accept these Terms on the minor’s behalf and assume full responsibility for the minor’s use of the Platform.

4. Account Registration and Security

To access certain features of the Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify OsteoIQ® immediately of any unauthorized use of your account or any other breach of security. OsteoIQ® shall not be liable for any loss arising from your failure to protect your account credentials.

5. Health Information and Medical Disclaimer

IMPORTANT: The information provided through the OsteoIQ® Platform, including test results, health insights, and wellness recommendations, is intended for informational and educational purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment.

You should always consult with a qualified healthcare provider before making any health-related decisions based on information obtained through the Platform. Never disregard professional medical advice or delay seeking treatment because of something you have read or received through the OsteoIQ® Platform.

OsteoIQ® does not practice medicine and does not provide medical diagnoses or treatment recommendations. The Platform is designed to complement, not replace, the relationship between you and your healthcare provider.

6. Collection and Use of Health Data

6.1 Types of Data Collected

In order to provide our services, OsteoIQ® collects and processes personal health data, which may include laboratory test results, biomarker data, self-reported health information, demographic data, and other health-related information you provide or that is generated through your use of the Platform.

6.2 Consent to Data Processing

By using the Platform and submitting health data, you consent to the collection, processing, storage, and use of your information as described in these Terms, our Privacy Policy, and our Consumer Health Data Privacy Notice. You may request to withdraw consent for certain processing by contacting us. If your request would prevent OsteoIQ®  from providing the Platform, including required de-identified data use for platform improvement and research purposes, OsteoIQ®  may not be able to provide continued access to the Platform.

6.3 Data Protection

OsteoIQ® implements industry-standard administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of your personal health information. We comply with applicable data protection laws and regulations, including but not limited to the Health Insurance Portability and Accountability Act (HIPAA) where applicable.

6.4 Data Sharing

We will not sell your personal health data to third parties. We may share your data with laboratory partners, healthcare providers you designate, and service providers who assist us in operating the Platform, subject to appropriate contractual protections. Please refer to our Privacy Policy for full details on how your data is shared and protected.

7. User Content and License Grant

7.1 User Content

"User Content" means any information, data, text, health records, self-reported information, feedback, suggestions, or other materials that you submit, upload, or otherwise provide to the Platform, including data generated through your use of our services.

7.2 License Grant

By submitting User Content to the Platform, you grant OsteoIQ® a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to copy, store, display, distribute, modify, create derivative works from, and otherwise use your User Content in connection with: (a) the operation, provision, and improvement of the Platform and our services; (b) the development and enhancement of new and existing products, features, and services; (c) the creation of aggregated, de-identified, or anonymized data sets; and (d) research and analytics purposes.

7.3 HIPAA and Regulatory Carve-Out

Notwithstanding the foregoing, the license granted in Section 7.2 shall not extend to any use that would be prohibited by the Health Insurance Portability and Accountability Act (HIPAA), applicable state health data privacy laws, or any other applicable data protection laws or regulations. Where your information is subject to HIPAA in a particular context, OsteoIQ® will handle that information in accordance with applicable law and our Privacy Policy and Consumer Health Data Privacy Notice.

7.4 De-Identified and Aggregated Data

OsteoIQ® may de-identify or aggregate User Content in accordance with applicable law, including the HIPAA de-identification standards set forth in 45 C.F.R. § 164.514. Once data has been properly de-identified or aggregated such that it can no longer reasonably identify you, it is no longer subject to the restrictions of this Section and may be used by OsteoIQ® for any lawful purpose, including research, product development, and publication of health insights and trends.

7.5 Representations

You represent and warrant that you own or have the necessary rights and permissions to submit your User Content and to grant the license described above, and that your User Content does not infringe upon the rights of any third party.

8. Physician Services and Lab Requisitions

8.1 Physician Authorization

Certain laboratory tests offered through the OsteoIQ® Platform require a licensed physician’s authorization. OsteoIQ® partners with independent, licensed physicians who review and sign lab requisitions on your behalf. These physicians exercise independent medical judgment in determining whether to authorize requested tests.

8.2 Limited Physician-Patient Relationship

The physician who signs your lab requisition does so for the limited purpose of authorizing the ordered laboratory tests. This limited interaction does not establish a comprehensive or ongoing physician-patient relationship. The authorizing physician is not your primary care provider and does not provide diagnosis, treatment recommendations, or ongoing medical care through the Platform.

8.3 Right to Decline

A physician may, in his or her sole medical judgment, decline to authorize any laboratory test requested through the Platform. If a test is declined, OsteoIQ® will notify you and, where applicable, issue a credit or refund in accordance with Section 11 of these Terms.

8.4 Independent Contractors

All physicians who provide services in connection with the OsteoIQ® Platform are independent contractors and are not employees or agents of OsteoIQ®. OsteoIQ® does not control or direct the medical judgment of any physician. You acknowledge that OsteoIQ® is not a healthcare provider and does not practice medicine.

8.5 Laboratory Partners

Laboratory testing is performed by independent, certified clinical laboratories that are not owned or operated by OsteoIQ®. All laboratory partners maintain applicable certifications, including Clinical Laboratory Improvement Amendments (CLIA) certification and applicable state licensure. OsteoIQ® is not responsible for the acts or omissions of any laboratory partner.

8.6 Telehealth Services and Consent

Certain services offered through the OsteoIQ® Platform may involve Telehealth consultations. Telehealth is a mode of delivering health care services via communication technologies (e.g., internet or cellphone) to facilitate diagnosis, consultation, treatment, education, care management, and self-management of a patient's health care.

By using the Platform and consenting to Telehealth services, you understand and agree to the following:

(a) OsteoIQ® and its affiliated telehealth provider network offer Telehealth consultations, which may be conducted through videoconferencing, telephonic, and asynchronous technology. Your Telehealth provider will not be physically present in the room with you.

(b) There are potential risks to the use of Telehealth technology, including but not limited to interruptions, delays, unauthorized access, and other technical difficulties. Either your Telehealth provider or you may discontinue the Telehealth appointment if the technical connection is not adequate for the visit.

(c) You may seek an in-office visit rather than obtain care from a Telehealth provider. By participating in a Telehealth consultation arranged through OsteoIQ®, you acknowledge that you are choosing Telehealth voluntarily.

(d) To protect the confidentiality of your health information, you agree to undertake your Telehealth consultation in a private location. Your Telehealth provider will similarly be in a private location.

(e) You are responsible for payment of any amounts due and owing resulting from your Telehealth visit.

(f) In an emergent situation, your Telehealth provider's responsibility may be limited to directing you to emergency medical services, such as an emergency room.

By using the Platform's Telehealth services, you certify that you have read and understand these terms, that you understand the risks and benefits of a Telehealth appointment, and that you have been given the opportunity to ask questions.

9. User Responsibilities

As a user of the OsteoIQ® Platform, you agree to:

  • Provide accurate and truthful information when creating your account and using the Platform
  • Use the Platform only for lawful purposes and in compliance with these Terms
  • Refrain from attempting to access unauthorized areas of the Platform or its underlying systems
  • Not interfere with or disrupt the integrity or performance of the Platform
  • Not use the Platform to transmit any harmful, threatening, abusive, or otherwise objectionable content
  • Not reverse engineer, decompile, or disassemble any aspect of the Platform
  • Comply with all applicable laws and regulations in your use of the Platform

10. Intellectual Property

The Platform and all of its contents, features, and functionality, including but not limited to text, graphics, logos, trademarks, software, algorithms, and data compilations, are owned by OsteoIQ® or its licensors and are protected by intellectual property laws.

OsteoIQ® grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your personal, non-commercial purposes in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Platform without prior written consent from OsteoIQ®.

11. Fees and Payment

Certain features of the Platform may require payment of fees. All fees are stated in U.S. dollars unless otherwise specified. You agree to pay all applicable fees associated with your use of the Platform as described at the time of purchase.

OsteoIQ® reserves the right to modify its pricing at any time. Any changes to subscription fees will be communicated to you in advance, and your continued use of the Platform after the effective date of the fee change constitutes your acceptance of the new fee structure.

Unless otherwise stated, fees are non-refundable. Refund requests may be considered on a case-by-case basis at the sole discretion of OsteoIQ®.

Patients residing in New York and New Jersey have the right under their respective state patient billing laws to request an itemized price list from OsteoIQ® for their laboratory tests. To request an itemized price list, please contact us at the email address provided in Section 22.

12. Subscription and Cancellation

If you subscribe to a recurring plan, your subscription will automatically renew at the end of each billing cycle unless you cancel prior to the renewal date. You may cancel your subscription at any time through your account settings or by contacting our support team.

Upon cancellation, you will retain access to your subscription benefits through the end of your current billing period. After that period, your access to premium features will be discontinued, though you may continue to access your historical data in accordance with our data retention policies.

13. Third-Party Services and Links

The Platform may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by OsteoIQ®. We are not responsible for the content, privacy practices, or policies of any third-party services.

Your interactions with third-party services, including laboratory partners and healthcare providers, are governed by the respective terms and policies of those third parties. OsteoIQ® encourages you to review the terms and privacy policies of any third-party services you access through the Platform.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OSTEOIQ® AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL OSTEOIQ®’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT YOU HAVE PAID TO OSTEOIQ® IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, OsteoIQ®’s liability shall be limited to the greatest extent permitted by law.

15. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. OSTEOIQ® DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OsteoIQ® does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. OsteoIQ® does not guarantee the accuracy, completeness, or reliability of any health information, test results, or recommendations provided through the Platform.

16. Indemnification

You agree to indemnify, defend, and hold harmless OsteoIQ® and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact OsteoIQ® to attempt to resolve the dispute informally. We will endeavor to resolve complaints and disputes within a reasonable timeframe.

17.2 Binding Arbitration

If we are unable to resolve a dispute informally, you and OsteoIQ® agree that any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, unless you opt out of arbitration within thirty (30) days of accepting these Terms.

17.3 Class Action Waiver

YOU AND OSTEOIQ® AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

18. Termination

OsteoIQ® reserves the right to suspend or terminate your access to the Platform at any time, with or without cause and with or without notice, if we reasonably believe that you have violated these Terms or if your use of the Platform poses a risk to us, our users, or any third party.

Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 10, 14, 15, 16, 17, and 19.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the courts located in the United States, Wyoming.

20. Modifications to Terms

OsteoIQ® reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the “Last Updated” date at the top of this document. We may also provide additional notice through email or in-app notifications for significant changes.

Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of those revisions. If you do not agree with the updated Terms, you must discontinue your use of the Platform.

21. Miscellaneous

21.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and OsteoIQ® regarding your use of the Platform.

21.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

21.3 Waiver

The failure of OsteoIQ® to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

21.4 Assignment

You may not assign or transfer these Terms or your rights under them without the prior written consent of OsteoIQ®. OsteoIQ® may assign these Terms without restriction.
